1. The service
Depending on what is available to you, Merry may provide business information analysis, operating plans, content and task collaboration, external platform connections, and actions confirmed by a user. The scope, fees, and usage limits of a feature are determined by the product pages, order terms, any signed enterprise agreement, and the features actually enabled. Examples and planned features shown on a website do not mean that every feature is available to every user or that a particular result is guaranteed.
2. Accounts and security
Some features require an account. You should provide accurate information, protect your login credentials, and manage your team members' permissions. Contact us promptly if you suspect unauthorized account use. You are responsible for actions initiated through your account by you or your authorized users, except where applicable law provides otherwise or the issue is caused by us.
3. External platform authorization
Features that connect to Amazon, Meta, or another third-party platform require you to hold the relevant account and authority and to complete the platform authorization yourself. You must follow the platform's rules and must not authorize Merry to access data or assets you are not entitled to manage. A third-party platform may change its APIs, permissions, availability, or policies, and affected Merry features may change as a result. Merry is the developer application used for Merry's Meta platform integration. It is held and managed by AICOFI PTE. LTD.
4. Data and content you provide
You must have the rights and lawful basis needed to submit, upload, or authorize us to process data and content, and must not infringe others' rights. You retain your applicable rights in your own data and content. To provide the service you request, you permit us to store, process, transmit, and display that content as needed. Our handling of personal information is described in the Privacy Policy. Check content before confirming its publication on an external platform, and follow that platform's rules.
5. Acceptable use
You must not use Merry for illegal acts, fraud, infringement, spam, malicious scraping, bypassing access controls, or disrupting system security. You must not attempt to access another user's account, credentials, or data. If conduct clearly breaches these Terms or creates a security risk, we may restrict the affected features to the extent necessary and give notice where appropriate.
6. Plans, fees, and payment
If you use a paid service, the price, billing period, renewal, cancellation, and refund terms are those shown to you at purchase or in a signed agreement. Prices and features displayed on the website may change, but changes to an existing order will be handled under that order and applicable law.
7. Changes and availability
We take reasonable steps to maintain Merry's stability and security, but maintenance, upgrades, third-party failures, and events beyond our control may affect availability. We may adjust features to improve the product or meet legal or platform requirements. If a change materially affects a paid service's core features, we will provide notice or other handling under the applicable agreement and law.
8. Intellectual property and feedback
Rights in Merry's software, interface, names, documentation, and related technology belong to their respective owners. You do not acquire those intellectual property rights beyond the right to use the service under these Terms or a separate agreement. We may use feedback you provide to improve Merry while handling any non-public information in it under our Privacy Policy and confidentiality obligations.
9. Security and confidentiality
Each party should reasonably protect non-public information learned while using the service. We take protection measures appropriate to data risks under the Privacy Policy and applicable agreements. You should also manage your devices, account, and team permissions. If a security incident may affect an account or data, the parties should contact each other promptly and act as applicable requirements provide.
10. AI outputs and business decisions
Merry's analysis, recommendations, and generated content may be limited by the information provided, external data, and model capabilities. Review important information and give any necessary confirmation before publishing content, spending a budget, entering into a contract, or taking another significant business action. Merry does not replace qualified legal, tax, accounting, financial, or other professional advice. Use of Merry does not itself authorize an external publication, payment, or similar action that the user has not authorized or confirmed.
11. Stopping use, termination, and data
You may stop using the service, cancel an applicable plan, or request account and data deletion as described in the order terms, Privacy Policy, and User Data Deletion Instructions. If you seriously breach these Terms, or an account creates legal, security, or third-party platform risks, we may suspend or terminate access to the extent necessary. Fees, necessary record retention, and data handling after termination are governed by applicable agreements and law.
12. Responsibility, disputes, and contact
Each party is responsible as required by law. If the parties have signed a separate enterprise agreement, its terms govern specific warranties, liability, and dispute resolution; otherwise, applicable law governs.
We may update these Terms and show the new effective date on the page. We will give notice of material changes where required. For questions about these Terms or the service, email merrycenter@boattosea.cn.
